By accessing or using any of V-Accel's custom software development services, SaaS products, consulting, or related offerings ("Services"), you agree to be bound by these Terms & Conditions ("Terms").

If you do not agree to these Terms, you must not use our Services. These Terms constitute a binding legal agreement between you and V-Accel AI Dynamics Pvt Ltd ("V-Accel", "we", "us", "our").

2. Services Overview

V-Accel provides the following:

Custom software development (web, mobile, enterprise solutions)

SaaS product subscriptions (LeadAccel CRM and related tools)

Technical consulting and digital transformation services

Cloud infrastructure, DevOps, and maintenance support

API integrations and third-party platform connections

Scope of services depends on the specific agreement, subscription plan, or statement of work provided.

3. User Responsibilities

Important

You are responsible for:

Providing accurate information during signup or project intake

Maintaining the confidentiality of your account credentials

Ensuring lawful and authorized use of our Services

Complying with all applicable laws and regulations

Timely payment for subscriptions or project-based work

Providing necessary project materials and feedback

You are liable for all activities conducted under your account. Notify us immediately if you suspect unauthorized access.

4. Payment & Billing

Subscription Services

Billed monthly or annually depending on your plan

Automatic renewal unless canceled before the renewal date

All fees are non-refundable unless otherwise stated

Custom Development Projects

Pricing based on statement of work or project agreement

Payment milestones defined in the contract

Late payments may result in service suspension

Taxes: Prices do not include applicable taxes. You are responsible for all taxes, duties, and government-imposed fees.

5. Intellectual Property

Our IP

All SaaS platforms, proprietary tools, frameworks, branding, and documentation remain the exclusive property of V-Accel. You receive only a limited, non-transferable license to use them.

Custom Development Work

For custom projects, ownership and licensing terms are defined in the project agreement or statement of work. Typically, you receive full ownership upon final payment.

Your Content

You retain ownership of all data, files, and content you upload. You grant us a limited license to process this content solely to provide Services.

6. Warranties & Disclaimers

Read Carefully

Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, including:

Merchantability or fitness for a particular purpose
Uninterrupted or error-free operation
Complete security or data integrity

For custom projects, specific service levels and warranties may be outlined in your project agreement.

7. Limitation of Liability

To the maximum extent permitted by law, V-Accel and its affiliates, directors, employees, and partners shall not be liable for:

Indirect, incidental, special, consequential, or punitive damages

Loss of profits, revenue, data, or business opportunities

Service interruptions, security breaches, or third-party failures

Any damages exceeding the fees paid to V-Accel in the preceding 12 months

Some jurisdictions do not allow limitation of liability, so these exclusions may not apply to you.

8. Termination

By You

You may cancel SaaS subscriptions or custom projects in accordance with your agreement. Refund eligibility depends on the service type and contract terms.

By V-Accel

We may suspend or terminate your account if you:

Violate these Terms
Engage in fraudulent or illegal activity
Fail to pay for Services
Misuse our platform or harm other users

Upon termination, you must cease all use of our Services. We may delete your data in accordance with our retention policies.

9. Prohibited Activities

Strictly Forbidden

You may not:

Reverse engineer, decompile, or hack our systems

Use our Services for illegal, harmful, or fraudulent purposes

Transmit malware, spam, or malicious code

Violate third-party intellectual property or privacy rights

Scrape, crawl, or automate access beyond allowed limits

Resell or sublicense our SaaS products without permission

Violations may result in immediate termination and potential legal action.

10. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of courts in Chennai, Tamil Nadu, India.

Dispute Resolution: We encourage good-faith negotiation before pursuing formal legal action. For custom projects, arbitration clauses may be specified in separate agreements.
